Acceptance of these Terms

By accessing or using nodexservers.com (the “Website”), submitting an inquiry, requesting a quotation or purchasing a product from NodeX, you acknowledge that you have read, understood and agree to these Terms of Use.

If you are acting on behalf of a company, organisation or other legal entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree with these Terms, you should not use the Website or place an order through NodeX.

About NodeX

NodeX provides configurable GPU server systems and related hardware intended for artificial intelligence, machine learning, high-performance computing, rendering, scientific computing and other compute-intensive workloads.

References to “NodeX”, “we”, “us” or “our” throughout these Terms refer to the legal entity operating nodexservers.com.

Use of the Website

You may use the Website only for lawful purposes and in accordance with these Terms.

You agree not to:

• Use the Website for fraudulent, unlawful or malicious purposes.
• Attempt to gain unauthorised access to the Website, servers, databases or related infrastructure.
• Introduce viruses, malicious software, automated attacks or other harmful technologies.
• Scrape, reproduce or systematically extract Website content without our permission.
• Interfere with the normal operation, security or availability of the Website.

We may restrict or terminate access to the Website where we reasonably believe these Terms have been violated.

Product Information & Configurations

NodeX server systems may be available in multiple configurations, including different processors, GPUs, memory, storage, networking hardware, operating systems, accessories and warranty options.

Product descriptions, specifications, photographs, compatibility information and other Website content are provided for general informational purposes.

Final specifications are determined by the configuration confirmed for your individual order or quotation.

Hardware manufacturers may revise components, specifications, firmware or product designs. Where necessary, we may offer a technically equivalent or superior component, subject to agreement where the change materially affects the ordered system.

Performance

Performance figures, benchmarks, thermal information, power consumption and workload examples are estimates and may vary depending on configuration, software, drivers, cooling, operating environment and workload.

Orders & Quotations

Submission of an order, configuration request or quotation request does not necessarily constitute acceptance by NodeX.

An order becomes binding once it has been accepted by us and any required payment or deposit has been received.

We reserve the right to reject or cancel an order before acceptance where, for example:

• A component is unavailable.
• A pricing or specification error occurred.
• Payment cannot be verified or completed.
• Export, sanctions or legal restrictions apply.
• The requested configuration is technically incompatible or unsafe.

Custom configurations may require additional technical confirmation before production begins.

Pricing & Payment

Prices displayed on the Website or included in a quotation may be subject to taxes, VAT, shipping, customs duties, import charges and other costs depending on the customer and delivery destination.

Unless expressly stated otherwise, quotations are valid only for the period specified in the quotation.

Because enterprise hardware pricing and availability can change rapidly, prices may change before an order has been formally accepted.

Payment terms, currency and accepted payment methods will be stated during checkout, on the invoice or in the applicable quotation.

Ownership of goods may remain with NodeX until all amounts due under the relevant order have been paid in full, where permitted by applicable law.

Assembly, Shipping & Delivery

Delivery and production times depend on hardware availability, order quantity, configuration, destination and logistics conditions.

Any dispatch or delivery date communicated by NodeX is an estimate unless expressly agreed in writing as a guaranteed deadline.

Delays may occur because of circumstances outside our reasonable control, including:

• Component shortages.
• Manufacturer delays.
• Carrier and customs delays.
• Import or export restrictions.
• Natural disasters or severe weather.
• Other events beyond our reasonable control.

Customers are responsible for providing accurate delivery details and, where applicable, suitable receiving instructions for data centres, colocation facilities or commercial premises.

Warranty & Technical Support

Warranty coverage depends on the server, individual components and warranty option selected for the order.

The applicable warranty period and coverage will be confirmed with the order documentation or invoice.

Warranty coverage may not apply to damage caused by misuse, unauthorised modification, incorrect installation, unsuitable power delivery, inadequate cooling, physical damage, liquid damage or operation outside manufacturer specifications.

Cancellations, Returns & Refunds

Cancellation and return rights depend on the nature of the order, the customer's legal status, the level of customisation and applicable law.

Certain servers are assembled or configured specifically to the customer's requirements. Customised or made-to-order products may be subject to different cancellation or return conditions where permitted by applicable law.

Nothing in these Terms is intended to exclude mandatory statutory consumer rights that cannot legally be excluded or restricted.

Limitation of Liability

To the maximum extent permitted by applicable law, NodeX will not be liable for indirect, incidental, consequential or special losses arising from the use or inability to use the Website or products.

This may include, where legally permitted, loss of profits, revenue, business opportunities, data, production time or anticipated savings.

Customers are responsible for evaluating whether a selected hardware configuration is appropriate for their intended workload, infrastructure, power capacity, cooling environment and software.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

Intellectual Property

Unless otherwise stated, the Website, NodeX branding, graphics, page designs, text, product descriptions, photographs and other original materials are owned by or licensed to NodeX.

You may not reproduce, distribute, modify, republish or commercially exploit such material without prior written permission, except where permitted by law.

Third-party trademarks and product names remain the property of their respective owners.

Privacy & Personal Data

Personal information submitted through the Website is handled in accordance with our Privacy Policy and applicable data protection legislation.

Information may be processed where necessary to respond to inquiries, prepare quotations, process orders, arrange delivery, provide technical support and comply with legal obligations.

Governing Law

These Terms and any dispute arising from them are governed by the laws applicable to the legal entity operating NodeX, subject to any mandatory rights or jurisdiction rules that apply to the customer.

The version applicable to an accepted order will generally be the version in effect when that order was accepted, unless otherwise required by law or agreed between the parties.
